Expression of Interest – AAP Board Positions
The AAP Board's role is to guide and monitor the affairs the Association to ensure the AAP achieves its objects as outlined in the Constitution. The Board has two broad purposes: compliance and performance. The principal responsibilities of the Board include:
- Ensuring compliance with statutory and legal obligations together with ethical and corporate governance standards;
- Determining the strategic direction having regard to the purpose of the Association and members’ expectations;
- Overseeing the development of the Association’s strategic plan, in consultation with the Executive, through the CEO;
- Considering and approving plans, policies and budgets to achieve the Association's goals; and,
- Monitoring and assessing the performance of the organisation, the Board itself, committees and major projects.
The AAP is a Public Company Limited by Guarantee and a registered charity with the Australian Charities and Not for Profits Commission (ACNC). All members of the Board are Directors of the Company and elected at the AGM. Board members are expected to attend quarterly meetings (held via Zoom), with other tasks allocated that are aligned to the position description.

Expressions of Interest are now open for three Board positions:
Treasurer, Ordinary Member and Independent Member
- Duration: 3 years with the option to renew.
- Nominations are reviewed by the AAP’s Succession Planning and Nominations committee who make recommendations to the Board. Recommendations are considered by the Board, with the aim of endorsing at least one candidate for each position at the AGM.
Treasurer
Responsibilities include:
- Serving on the Board and chairing the Finance and Risk subcommittee of the Board.
- Overseeing the management and reporting of the Association’s finances and presents financial reports to the Board.
- Overseeing the preparation of annual financial reports, liaises with the auditor in the annual review of the accounts and presents the annual financial reports to the AGM.
- Providing feedback to the Executive on the draft operating budget as part of the development of an operational plan.
- Managing the AAP bank accounts.
- Monitoring the Association’s financial records.
- Monitoring risk and regulatory environment and liaises with Board and Exec to maintain the risk register and develop mitigation and control strategies, particularly with respect to financial risk.
- Overseeing the development and observation of the organisation's financial policies.
- Acting as the Public Officer and regulatory contact (ATO, ASIC, etc.).

Ordinary Member
Responsibilities of Board Directors include, to:
- Challenge and contribute to the development of strategy;
- Scrutinise the performance of the Association against agreed objectives, and monitor the reporting of performance;
- As required by legislation, take reasonable and proper steps to satisfy themselves that financial information given to members or reported is accurate; and
- Ensure that there are adequate and proper financial controls and systems of risk management and that the controls are maintained and the systems robust.

Independent Member
Independent members provide expert legal, financial or other advice to the Association. Independent members may only be proposed for election by recommendation from the Board.
Responsibilities of Board Directors include, to:

- Scrutinise the performance of the Association against agreed objectives, and monitor the reporting of performance;
- As required by legislation, take reasonable and proper steps to satisfy themselves that financial information given to members or reported is accurate; and
- Ensure that there are adequate and proper financial controls and systems of risk management and that the controls are maintained and the systems robust.
